Overview

What is an independent audit committee member?

An independent audit committee member is a person from outside the organisation’s management who sits on its audit and risk committee. They bring objective challenge and specialist expertise to the committee’s oversight of financial reporting, risk management, internal control and audit.

Governance codes across sectors expect audit committees to include members with recent and relevant financial experience. Organisations often appoint independent or co-opted members, vice-chairs or chairs to strengthen that expertise, plan succession or fill a specific skills gap.

What it stands for

IndependenceNo management role and no conflicting work for the organisation.
Constructive challengeQuestions that test assumptions without undermining management.
Financial and audit expertiseQualified professionals who understand assurance from the inside.

Who it’s for

When your committee needs independent expertise

Audit and risk committees are expected to include members with recent and relevant financial experience who can challenge management and oversee internal and external audit. Many organisations, especially in the public, housing, education and not-for-profit sectors, appoint independent or co-opted members to fill that gap.

  • Housing associations seeking independent audit and risk committee members
  • Councils and public bodies appointing independent committee members
  • Charities, academy trusts and colleges needing finance and audit expertise
  • Private and listed companies, wherever they are based, appointing non-board audit committee members

Frequently asked questions

Independent Audit Committee Members & Non-Executives: your questions

How are independent audit committee members paid?

Remuneration is set by the appointing organisation and varies by sector and role. We discuss it as part of the appointment process.

What does an independent audit committee member do?

They review financial reporting, internal control, risk management, and the work of internal and external audit, providing independent challenge to management and assurance to the board.

What is the time commitment?

Typically four to six committee meetings a year, plus preparation, induction and occasional additional sessions. We confirm the expected commitment before any appointment.

Can your member serve on our committee if you also provide internal audit to us?

No. To protect independence, we do not provide committee members to organisations where we deliver internal audit or other assurance work, and we check for conflicts before every appointment.

Do you provide members for organisations outside the UK?

Yes. We support audit committees wherever they are based, including companies that appoint audit committee members from outside the board.
